Terms of Service

These Terms of Service (“Terms”, version 1.0) govern your access to and use of synapcyte (the “Platform”). By creating an account or using the Platform, you agree to these Terms. If you are using the Platform on behalf of an organization, you represent that you are authorized to bind that organization.

1. What synapcyte is

synapcyte is an online marketplace that helps research buyers (academic labs, institutions, and companies) discover and connect with independent service providers such as contract research organizations (CROs) and core facilities. synapcyte provides the tools to post projects, exchange information under a non-disclosure agreement, submit and review proposals, and formalize a services agreement.

synapcyte is not a party to any agreement, non-disclosure agreement, or transaction between buyers and providers. We do not perform the research services, do not supervise or control the providers, and do not currently process payments for the services, which are arranged and paid directly between the parties. We are not a law firm and nothing on the Platform is legal advice.

2. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials confidential.
• You must verify your email address before publishing a project, signing an NDA, or submitting a proposal.

3. Provider review is not a guarantee

Providers apply to join and may be reviewed by synapcyte before they can submit proposals. Any review is limited and does not constitute an endorsement, certification, or guarantee of a provider’s qualifications, quality, compliance, or the outcome of any engagement. Buyers are responsible for their own due diligence.

4. Projects, proposals, and agreements

• Buyers are responsible for the content of the projects they post and for selecting a provider.
• Providers are responsible for the accuracy of their proposals and for performing any services they agree to provide.
• Any NDA or services agreement generated through the Platform is a template offered for convenience between the buyer and provider only. You should review it with your own legal counsel; you remain responsible for the agreements you enter into.

5. Payments

Fees for research services are negotiated between the buyer and provider and paid directly between them, off-platform. synapcyte does not currently charge a commission or process these payments. If we introduce platform fees in the future, we will update these Terms and give notice before they apply to you.

6. Acceptable use

Your use of the Platform is subject to our Acceptable Use Policy. Do not misuse the Platform, misappropriate confidential information disclosed to you, or use it for any unlawful purpose.

7. Confidentiality

Confidential information exchanged between buyers and providers is governed by the NDA the parties execute for a given project. synapcyte handles your data as described in our Privacy Policy.

8. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. synapcyte does not warrant that the Platform will be uninterrupted or error-free, and is not responsible for the acts, omissions, work product, or agreements of any buyer or provider.

9. Limitation of liability

To the maximum extent permitted by law, synapcyte will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or related to your use of the Platform or any engagement between a buyer and provider.

10. Indemnification

You agree to indemnify and hold synapcyte harmless from claims arising out of your use of the Platform, your content, your engagements with other users, or your breach of these Terms.

11. Suspension and termination

We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, or to protect the Platform or its users. You may stop using the Platform at any time.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by a new version number and updated date, and where appropriate we will ask you to re-accept them.
